Terms & Conditions

General terms for our services

These general terms and conditions apply to all offers, agreements, and services provided by MaatInICT B.V. By using our services, you agree to these terms.

1. Definitions

  • MaatInICT: MaatInICT B.V., registered in the Netherlands
  • Client: Any natural or legal person who enters into an agreement with MaatInICT
  • Services: All services provided by MaatInICT, including but not limited to test automation, software testing, and consulting
  • Agreement: Any arrangement between MaatInICT and the Client

2. Applicability

These terms and conditions apply to all offers, quotations, and agreements between MaatInICT and the Client. Deviations from these terms are only valid if explicitly agreed upon in writing.

3. Quotations and Offers

  • All quotations are without obligation unless otherwise stated
  • Quotations are valid for 30 days unless otherwise specified
  • Prices in quotations exclude VAT unless otherwise indicated
  • MaatInICT cannot be held to quotations if the Client should reasonably understand that the quotation contains an obvious mistake or error

4. Execution of Services

  • MaatInICT will execute the agreement to the best of its knowledge and ability in accordance with the requirements of good workmanship
  • MaatInICT has the right to have certain work performed by third parties
  • The Client ensures that all data and information that MaatInICT indicates is necessary is provided in a timely manner
  • MaatInICT is not liable for damage of any kind caused by the Client providing incorrect or incomplete data

5. Delivery and Deadlines

  • Agreed delivery dates are target dates and not strict deadlines unless explicitly agreed otherwise
  • If MaatInICT requires information from the Client for the execution of the agreement, the delivery period starts after the Client has provided this information
  • Exceeding the delivery period does not entitle the Client to compensation or dissolution of the agreement

6. Payment

  • Payment must be made within 30 days of the invoice date unless otherwise agreed
  • In case of late payment, the Client is liable for statutory interest
  • All costs related to collection, both judicial and extrajudicial, are at the expense of the Client
  • MaatInICT reserves the right to suspend services in case of non-payment

7. Intellectual Property

  • All intellectual property rights to the delivered products and services remain with MaatInICT unless otherwise agreed in writing
  • The Client receives a non-exclusive license to use the delivered work for the agreed purpose
  • The Client is not permitted to modify, reproduce, or share the work with third parties without prior written consent

8. Confidentiality

Both parties are obliged to maintain the confidentiality of all confidential information obtained from the other party within the framework of the agreement. Information is considered confidential if it has been designated as such or if it can reasonably be expected to be confidential.

9. Liability

  • MaatInICT's liability is limited to the amount paid out by its professional liability insurance
  • If no payment is made by the insurer, liability is limited to the invoice amount of the assignment, with a maximum of EUR 10,000
  • MaatInICT is not liable for indirect damage, including consequential damage, lost profit, or lost savings
  • The limitations of liability do not apply if the damage is caused by intent or gross negligence on the part of MaatInICT

10. Force Majeure

MaatInICT is not obliged to fulfill any obligation if it is prevented from doing so due to force majeure. Force majeure includes, but is not limited to: illness, power outages, internet failures, government measures, and other circumstances beyond MaatInICT's control.

11. Termination

  • Either party may terminate the agreement by written notice with a notice period of 30 days
  • MaatInICT may immediately terminate the agreement if the Client fails to fulfill its obligations
  • Upon termination, all outstanding invoices become immediately due and payable

12. Applicable Law and Disputes

  • These terms and conditions are governed by Dutch law
  • Disputes will be submitted to the competent court in the district where MaatInICT is established
  • Before resorting to legal proceedings, parties will attempt to resolve disputes amicably

13. Changes to Terms

MaatInICT reserves the right to change these terms and conditions. Changes will be announced via the website. Continued use of our services after changes constitutes acceptance of the modified terms.
